This Privacy Policy (“Policy”) provides you with information about the privacy practices associated with the online store (“Site”) operated by SoftBank Robotics America, Inc. (“SBRA,” “we,” “us” or “our”), including what information is collected, how such information is used and with whom such information is shared when you use the Site, available at https://us-store.softbankrobotics.com/. By using the Site, you agree to the terms of this Policy. If you do not agree to the terms of this Policy, please do not use the Site.

Please note the arbitration provision set forth below, which, except where and to the extent prohibited by law, which may include the province of Quebec, requires you to arbitrate any claims you may have against SBRA. ARBITRATION MEANS THAT YOU WILL NOT HAVE, AND YOU WAIVE, THE RIGHT FOR A JUDGE OR JURY TO DECIDE YOUR CLAIMS, AND THAT YOU MAY NOT PROCEED IN A CLASS, CONSOLIDATED OR REPRESENTATIVE CAPACITY.
1. Information Collected
Throughout this Policy, we refer to “Personal Information” which means any information that identifies, relates to, describes, is capable of being associated with, or could reasonably be linked, directly or indirectly, to a particular consumer or household. Personal Information does not include “aggregate” or “anonymized” information, which is information we collect (including without limitation, demographic or preference information) from which Personal Information has been removed. If SBRA combines this non-personal information with Personal Information, SBRA will treat this information as Personal Information pursuant to this Policy.
We may collect the following Personal Information and non-personal information:

• Telephone number
• Company name
• Shipping and billing address
• Browser, device, operating system
• Geographic location
• Behavioral event data, such as clicks, feature usage, individual pages and products that you view, etc.
• Website performance metrics, such as load time, etc.
• Usage metrics, such as session length, number of visits, etc.
• Network and traffic information, such as source, bounce rate, disconnect, ISP, etc.
• Information collected through cookies
• Date of visiting the Site
• Purchase history
• What websites or search terms referred you to the Site.
2. Use of Information Collected
We use the information we collect to:
• Fulfill any orders placed through the Site (including processing payment information, arranging for shipping, and providing you with invoices and/or order confirmations);
• Communicate with you and respond to your emails, submissions, questions, inquiries, comments, requests, and complaints;
• Monitor and analyze the Site usage and trends and otherwise measure the effectiveness of the Site or request feedback from you about the Site;

3. Cookies
We use, and allow third parties to use, cookies and other similar technologies. Cookies are small text files placed on your device that uniquely identify your device and which a website can transfer to your hard drive to keep records of your visit to a website. We, or third parties, may use session cookies or persistent cookies. Session cookies only last for the specific duration of your visit and are deleted when you close your browser. Persistent cookies remain on your device’s hard drive until you delete them or they expire. Different cookies are used to perform different functions, which we explain below:
• Essential. Some cookies are essential in order to enable you to move around our website and use its features, such as accessing secure areas of our website. Without these cookies, we cannot enable appropriate content based on the type of device you are using.

4. Sharing and Disclosure of Information
We share Personal Information as follows:
• With affiliates of SBRA, including, but not limited to, SoftBank Robotics Group Corp, SoftBank Robotics Corp, SoftBank Robotics Europe SAS and SoftBank Robotics China Inc.
• With vendors, consultants, and/or other service providers ("Service Providers") who are engaged by or working with us in connection with the operation and/or promotion of the Site and who need access to such information to carry out their work. • In the event of purchase or sale of businesses. From time to time, we may purchase a business or sell or transfer one or more of our businesses and your Personal Information may be transferred as a part of the purchase or sale/transfer. If we purchase a business, the Personal Information received with that business would be treated in accordance with this Policy, if it is practicable and permissible to do so. If we sell a business, whenever possible, we will include provisions in the sale agreement requiring the purchaser to treat your Personal Information in the same manner as required by this Policy. The provisions of this paragraph will also apply if we are sold as part of bankruptcy proceedings.
• As required by law and to protect the security and safety of users. We will disclose Personal Information when we believe in good faith that such disclosures (a) are required by law, including, for example, to comply with a court order or subpoena, (b) will help to: enforce this Policy or our Terms of Service, (c) will protect your safety or security, including the safety and security of property that belongs to you, and/or protect the safety and security of SBRA or any third parties. Unless required by law, SBRA will not be required to notify you of any such disclosure.
5. How We Respond to Do Not Track Signals
At this time, SBRA does not respond to Do Not Track (DNT) settings in your browser.

From January 1, 2020, California residents have the following rights:
Right to Know – You have the right to request that we disclose certain information to you about our collection and use of your Personal Information over the past 12 months. Once we receive and confirm your verifiable consumer request, we will disclose to you the categories and specific pieces of Personal Information we have collected about you, as well as the categories of sources from which such information is collected, the purpose for collecting such information, the categories of third parties with whom we share such information, and information about our sale or disclosure for business purposes of your Personal Information to third parties.
Right to Delete – You have the right to request that we delete any of your Personal Information that we collected from you and retained, subject to certain exceptions. Once we receive and confirm your verifiable consumer request, we will delete (and direct our service providers to delete) your Personal Information from our records, unless an exception applies.
Right to Opt-Out of Sale – You have the right to opt-out of the sale of your Personal Information to third parties. Please note we do not “sell” your Personal Information, as that term is defined in the California Consumer Privacy Act of 2018.
Right to Non-Discrimination – You have the right to not be discriminated against for exercising any of these rights.
If you would like to exercise one or more of the above rights, please contact us by postal mail or by e-mail using the contact information below. We may need you to provide additional information to verify your request, such as providing certain data elements so that we can confirm they match the Personal Information already maintained by us. We will not use this additional information for anything other than handling your request. You may designate an authorized agent to make a request in certain circumstances on your behalf. Such authorized agent must be registered with the California Secretary of State. We will endeavor to respond to all such requests within forty-five (45) days, although there may be a brief delay in processing a request while we verify that the request is valid and originates from you as opposed to an unauthorized third party. If we require more time, we will inform you of the reason and extension period in writing.
Additionally, California's “Shine the Light” law (Civil Code Section § 1798.83) permits users of our website that are California residents and who have an established business relationship with us to request, once a year, certain information regarding our disclosure of Personal Information to third parties for their direct marketing purposes. The Site may include links to websites provided by unaffiliated third parties (e.g., payment processors or service providers), our affiliates or other entities that we own or control. This Policy does not apply to those third-party websites and services and treatment of any Personal Information you provide to those is subject to the applicable third party’s individual privacy policy. We are not responsible for the content or privacy and security practices and policies of these third-party websites and services or of any other websites that are linked to or from the Site.
8. Security
The security and confidentiality of your Personal Information is important to us. We use reasonable security measures to protect Personal Information from unauthorized access, disclosure, loss, misuse and alteration. From time to time, we review our security procedures to consider appropriate new technology and methods. However, please understand that, despite our best efforts, no security measure is perfect or impenetrable. We will notify users of a data breach as required by applicable law. Depending on where you live, you may have a legal right to receive notice of a security breach in writing.
If you have your own log-in and password, you must keep your log-in information and password confidential and not disclose it to any other person. You are responsible for all uses of the Site by any person using your log-in information and/or password. Please let us know immediately if you believe your log-in and/or password has been misused.
9. International Data Transfers
SBRA is based in the US. If you provide us with Personal Information, we may transfer that information to our affiliates and subsidiaries or to other third parties and from your country or jurisdiction to other countries or jurisdictions around the world. If you are visiting from outside the United States, please note that your Personal Information is transferred to the United States and may be transferred to other jurisdictions. The United States and these other jurisdictions may not have the same data protection laws as your country of residence. You acknowledge you understand that by providing your Personal Information: (i) your Personal Information will be used for the uses identified above in accordance with this Policy; and (ii) your Personal Information will be transferred to the United States and other jurisdictions as indicated above, in accordance with applicable law.
10. Governing Law; Dispute Resolution and Agreement to Arbitrate
Our goal is to provide you with a neutral and cost-effective means of resolving any dispute quickly. Therefore, except where and to the extent prohibited by law, for any claim related to this Policy or our Site where the total amount sought (i) is equal to or more than $10,000 USD, you may, or (ii) is less than $10,000 USD, you must, initiate dispute proceedings by mailing a written notice to SBRA at the address listed below, explaining the reasons for your claim and providing your contact information. SBRA may offer to settle the claim, provided however that if the dispute is not resolved within 30 days from the date of SBRA's offer to settle or SBRA's receipt of your claim notice (whichever is later), you may invoke binding arbitration by mailing a separate demand for arbitration to SBRA at the address listed below. A party electing arbitration shall initiate it through an established alternative dispute resolution (“ADR”) provider mutually agreed upon by the parties. The ADR provider and the parties must comply with the following rules: (a) the arbitration shall be conducted, at the option of the party seeking relief, in person, by telephone, online, or based solely on written submissions; (b) any in person arbitration will take place in the county in which the city or town you have entered as your residence sits (and if neither is applicable, then the arbitration shall take place in San Francisco County, California); (c) the ADR provider may award any form of individual relief; (d) SBRA will pay all arbitration costs for non-frivolous claims; (e) any judgment on the award rendered by the arbitrator may be entered in any court of competent jurisdiction; (f) SBRA may not seek reimbursement of its attorney's fees in connection with such arbitration unless your claim is frivolous; (h) claims must be brought in the parties' individual capacity, and not as a plaintiff or class member in any purported class or representative proceeding. You hereby agree that for any dispute or claim, you waive any right to a trial (by judge or jury), you waive any right to participate as a member of a class in a class action or similar proceeding, and you will abide by the dispute resolution mechanism in this Section (The rights to attorneys’ fees and expenses discussed above supplement any right to attorneys’ fees and expenses you may have under applicable law, but you may not recover duplicative awards of attorneys’ fees or costs).
The formation, construction and interpretation of this Policy shall in all respects be governed by and construed in accordance with the laws of the United States and the State of California, without giving effect to any principles of conflicts of laws.
All claims you bring against SBRA must be resolved in accordance with this Section. All claims filed or brought contrary to this Section shall be considered improperly filed and a breach of our Terms of Service.
11. Changes to this Policy
We reserve the right to change this Policy at any time. When we do, we will update the “Last Updated” date above. Please review this Policy from time to time to make sure you understand how any Personal Information you provide will be used. Your continued use of the Site following the posting of changes to this Policy will mean you accept those changes.
12. Minors
The Site is not intended for individuals under the age of 18.
13. Assignment
If all or part of our assets are sold or acquired by another party, or in the event of a merger, you grant us the right to assign the Personal Information collected via the Site.
